Description
UPMC is seeking legal professionals to be considered for our Sr. Associate Counsel & VP UPMC Enterprises opening. This individual will contribute to the success of our Enterprises team. This role will provide effective legal counsel to assist in meeting the legal needs of a large, diverse health care delivery and finance system.
Responsibilities:
- Provide high-level, proficient legal counsel to members of UPMC's senior leadership.
- Coordinate legal resources within the department and with other UPMC in-house attorneys.
- Provide oversight of department processes and procedures, including as to retention and oversight of outside counsel serving UPMC.
- Carry out department level communication and satisfy system reporting requirements on behalf of the department.
- Provide guidance with respect to contractual and commercial arrangements and prepare contractual and other legal documentation.
- Provide legal and strategic advice with respect to start-up and early stage company formation, financing, operations and governance.
- Represent UPMC and UPMC business units in structuring and negotiating research and licensing arrangements in connection with life sciences technology transfer.
- Represent UPMC and UPMC business units in structuring and negotiating highly complex business transactions, such as equity financings and M&A transactions.
- Provides transactional support, due diligence, investment monitoring, and analytical support to the Enterprises Division of UPMC.
- Directing and managing significant system-wide legal functions.
- Provides supervision and management of attorneys.
- Performs in accordance with system-wide competencies/behaviors.
- Performs other duties as assigned.
Qualifications
- J.D. Degree required.
- Minimum 12 years experience as a practicing attorney.
- Strong transactional experience.
- Experience in technology and technology transfer.
- Must demonstrate strong negotiating skills.
- Must demonstrate strong legal analytical skills, communication skills, solid legal writing skills, and problem-solving and conflict resolution skills.
- Must demonstrate ability to independently handle unique, sensitive and complex legal matters, without supervision and oversight.
Licensure, Certifications, and Clearances:
Member in good standing of the bar of a state, preferably Pennsylvania. Must secure Pennsylvania license within reasonable time of employment.
